Florida annual report deadline: plan before May 1.
Understand the annual report deadline, the $400 late fee and why a late report is different from reinstatement.
What the annual report does
The Florida annual report confirms or updates the Division of Corporations record. It is not a financial statement. Check your entity's first required report year and current status in the official record.
May 1 and the late fee
The timely LLC state fee is $138.75. After May 1, the state adds $400, for $538.75 total. Check current-year payment deadlines and permitted payment methods before relying on a last-day submission.
September is a separate risk
Sunbiz states that reports must be filed by the third Friday in September to avoid administrative dissolution, with dissolution or revocation at the close of business on the fourth Friday. Current-year payment cutoffs can differ by payment method. Verify the official page for your year rather than using an old calendar reminder.
Before you file
- Find your document number and current entity status.
- Review principal/mailing addresses, registered agent and people listed.
- Confirm authority for signatures and any new registered agent acceptance.
- Keep the actual state confirmation, not only a service-payment receipt.
Past dissolution deadlines or an inactive status can require reinstatement instead of a routine annual report. Do not pay for an on-time report package before the case is checked.
